# Terms & Conditions (Terms of Service)

## 1. Acceptance of Terms
By accessing or using Breeding360 (“Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
## 2. The Service
Breeding360 is a cloud-based farm management platform that enables users to track breeding, health, inventory, personnel, and financial data.
## 3. Eligibility
You must be at least 18 years old and legally capable of entering into contracts.
## 4. Accounts
* You are responsible for your account credentials and activities. * You must provide accurate information. * You must notify us of any unauthorized access.
## 5. Acceptable Use
You agree NOT to:
* Use the Service for unlawful purposes * Interfere with system security or performance * Attempt to access other tenants’ data * Upload malicious code or content
## 6. Data & Content Ownership
* You retain ownership of your data. * You grant Breeding360 a limited license to process your data to provide the Service. * We may aggregate/anonymize data for analytics and product improvement.
## 7. Subscriptions & Billing
* Pricing is based on active “heads” or as otherwise stated. * Fees are billed monthly unless agreed otherwise. * Late or failed payments may result in suspension.
## 8. Availability & Support
* We aim for high availability but do not guarantee uninterrupted service. * Maintenance windows and updates may occur.
## 9. Termination
We may suspend or terminate accounts for:
* Violation of these Terms * Non-payment * Security risks
You may terminate your account at any time.
## 10. Data Retention & Deletion
Upon termination, we may retain data for a limited period for legal/compliance reasons, after which it will be deleted or anonymized.
## 11. Intellectual Property
All platform code, UI, branding, and features are owned by Breeding360.
## 12. Limitation of Liability
To the maximum extent permitted by law, Breeding360 is not liable for:
* Indirect or consequential damages * Loss of profits or data * Decisions made based on platform insights
## 13. Indemnification
You agree to indemnify Breeding360 from claims arising from your use or misuse of the Service.
## 14. Governing Law
These Terms are governed by the laws of the Republic of the Philippines.
## 15. Changes
We may update these Terms. Continued use constitutes acceptance of changes.
